The Sell-Your-Pharmacy team will complete the following:

  •  First, we will provide a comprehensive and objective valuation of your pharmacy. This will include a full examination of the pharmacy's current financial position and, if necessary, discuss any changes that can be made to make your pharmacy more saleable and to maximize your gain (see "Ninth" below, for more clarification). There are two phases to this: the initial phase conducted at our office utilizing information provided by you and the comprehensive valuation requiring a visit to your pharmacy.
  •  Second, we will research the marketplace to identify the most likely buyers and determine which is likely to pay the highest price.
  •  Third, we will prepare an informational package on the pharmacy (note: it will never be provided without first obtaining a confidentiality and non-disclosure agreement). The purpose of the informational package is to make sure that we present your pharmacy in the best possible light. It will stress benefits to the prospective buyers.
  •  Fourth, we will quietly make contact with legitimate decision makers of all of the prospective buyers. We obtain an executed Confidentiality and Non-Disclosure Agreement from all parties prior to disclosure of any information.
  •  Fifth, once we have an interested party we obtain a Letter of Intent to Purchase (LOI). This is a non-binding agreement and is subject to any due diligence the prospective buyer wishes to complete.
  •  Sixth, we conduct all negotiations with the buyer. The advantage of this is that we will never be trapped into making a yes or no decision. We believe that a seller should never do their own negotiating. There is much more leverage when a 3rd party does the negotiating.
  •  Seventh, while it is essential for you to involve your attorney and tax advisor in the process, we actively work with these professionals so as to make sure that we are all on the same page and also, to control your costs.
  •  Eighth, we review all documents relative to the transaction, assist in establishing a favorable closing date and make sure that you are in compliance with all covenants and restrictions relative to the sale.
  •  Ninth, in the event there needs to be any negotiations with any of your creditors, secured or unsecured, taxing authorities, landlord, etc., we will create a strategy and where appropriate negotiate in your behalf. Note: the need for this will be identified early on in the process and will be addressed in accordance with the timing of the transaction.
  •  Tenth, we are either present at your closing or available by telephone to make sure that everything runs smoothly and there are no outstanding issues that could interfere with completing the transaction.

How do we get paid?
There is no charge for the initial assessment….you receive a signed Confidentiality Agreement from SHB Consultants and simply fill out our Assessment form.

We charge a modest fee for the comprehensive valuation. Again the amount of the fee is based upon the size and complexity of your business. This fee is credited against the success fee.

We charge a success fee. Any fees previously paid are applied to the success fee.
